The Director (consejero) of a Spanish company has the main function to make decisions on the matters dealt with in the Board of directors (Consejo de Administracion) of the company or business entity. The Board of Directors is the highest entity in the governance of a company, both in private and public companies. Therefore, the Director has the function of bring expertise and knowledge to the internal affairs of the company, and when it comes to define the company strategy. The Director of a spanish company it's not intended to participate in equity discussions, but to make decisions that help the professionalization of the company, and its operational strategy.
A Board of Directors of a company must be composed of three members at least. The maximum number of Directors in the board is determined by the company's articles of association, although in the case of limited companies 12 is the highest possible number of directors.
